ABSTRACT: Separating the responsibilities for non-complying with information obligations to which the applicable regulation the portfolio’s manager has to comply with, from the one which the Civil Code compels the simple custody and administration of securities client, the Author identifies the outlines of the agreement for administration of securities and which is the actual range of the “renewed obligations” of the client. Once recognized the dual connotation of the Securities deposit account as bank agreement and accessory investment service, the writing herein analyzes the different theories for which the non-feasance of information to a client could lead to the involvement of the escrow agent in the responsibility.
